Indemnification clauses are the subject of much negotiation in the industry — and with good reason. Well drafted (and sometimes poorly drafted) indemnification clauses can present monumental risks to owners, general contractors, and subcontractors. And those risks are often buried in intentionally hard-to-understand language.

During the webinar, we’ll take a deep dive into that language. We’ll talk about the different duties and obligations often included in indemnification clauses and how to assess and mitigate the risks that they present. The presentation will also include a walk-through of sample clauses to identify mild, moderate, and unacceptable levels of risk.

In addition to risk mitigation, we’ll also cover legal enforceability issues. This topic should be of particular interest to those on the drafting side seeking to enforce indemnification requirements down the chain. Jurisdictions often limit the scope of permissible indemnification, leaving indemnitees without certain bargained-for protections.
